Terms of Service

1. Acceptance of Terms

By accessing or using the Axnify.com platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms apply to all users, including merchants, store administrators, staff members, and visitors.

2. Description of Service

Axnify.com is a multi-tenant e-commerce platform that enables merchants to create, manage, and operate online stores. The Platform provides store management tools, a visual theme editor, payment processing integration, analytics, and related services as described on our website.

3. Account Registration

To use the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your account information to keep it accurate
• Maintain the confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account. By registering, you represent that you meet this requirement.

4. Subscription Plans and Billing

4.1 Plans

The Platform offers multiple subscription tiers (Free, Pro, Business, Enterprise) with varying features and limits as described on our Pricing page. We reserve the right to modify plan features and pricing with 30 days' notice.

4.2 Billing

Paid subscriptions are billed monthly or annually in advance. All fees are non-refundable except as expressly stated in these Terms. Payment processing is handled securely through Stripe.

4.3 Transaction Fees

In addition to subscription fees, Axnify charges transaction fees on sales processed through the Platform. Transaction fee rates vary by plan and are detailed on our Pricing page. These fees are separate from any fees charged by payment processors.

5. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable laws, regulations, or third-party rights
• Sell prohibited, illegal, counterfeit, or stolen goods
• Engage in fraudulent, deceptive, or misleading practices
• Distribute malware, spam, or other harmful content
• Attempt to gain unauthorised access to the Platform or other users' accounts
• Interfere with or disrupt the Platform's infrastructure or performance
• Scrape, crawl, or extract data from the Platform without authorisation
• Resell, sublicense, or redistribute the Platform without our written consent

We reserve the right to suspend or terminate accounts that violate these restrictions, with or without notice.

6. Intellectual Property

6.1 Our Property

The Platform, including its source code, design, features, documentation, and branding, is owned by Axnify and protected by intellectual property laws. You are granted a limited, non-exclusive, revocable licence to use the Platform for its intended purpose during your subscription.

6.2 Your Content

You retain ownership of all content you upload to the Platform (products, images, descriptions, themes). By uploading content, you grant Axnify a non-exclusive licence to host, display, and distribute that content solely for the purpose of operating your store.

7. Store Subdomains and Domains

Each store is assigned a subdomain (yourstore.axnify.com). Subdomains are allocated on a first-come, first-served basis and remain the property of Axnify. We reserve certain subdomains for platform operations and may reclaim subdomains that are inactive or violate our policies.

You may connect a custom domain to your store. You are responsible for domain registration, renewal, and DNS configuration. Axnify provides automatic SSL certificates for connected domains.

8. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. As a merchant, you are responsible for your own privacy practices regarding your customers' data and must comply with applicable data protection laws (including GDPR where applicable).

9. Service Availability

We strive to maintain 99.9% uptime for the Platform but do not guarantee uninterrupted or error-free service. We may perform scheduled maintenance with advance notice. We are not liable for any downtime, data loss, or damages arising from service interruptions.

10. Limitation of Liability

To the fullest extent permitted by law, Axnify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Platform.

Our total liability for any claim arising from these Terms shall not exceed the amount you have paid to Axnify in the twelve (12) months preceding the claim.

11. Termination

You may cancel your subscription and close your account at any time from your admin dashboard. Upon cancellation, your store will be deactivated and your data will be retained for 30 days before permanent deletion, allowing you to export your data or reactivate your account.

We may suspend or terminate your account immediately if you violate these Terms or engage in activity that threatens the Platform's integrity or other users' security.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the Platform at least 30 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
